研祥智能(02308)獲溢價15%提私有化 明復牌 X

<匯港通訊>         研祥智能(02308)宣布，要約人深圳市研祥智慧科技訂立合併協議，根據協議，以每股 H 股1.75元，向 H 股股東註銷所持有的 H 股股份；及向內資股股東支付每股內資股人民幣1.5091475元。於所有生效條件達成後，該公司向聯交所申請自願撤銷 H 股於聯交所的上市地位。

要約人為註銷 H 股股東持有的 H 股須以現金支付的註銷價總額為5.396億元。每股 H 股註銷價1.75港元較停牌前收市價1.52元溢價約15.13%。

深圳市研祥智慧科技由陳志列及其配偶王蓉持有。
