康大食品(00834)出售肉兔養殖資產及收購肉雞養殖資產 X

<匯港通訊>       康大食品(00834)宣布，向3名關連方出售肉兔養殖資產，代價共7494萬人民幣(下同)。另外，集團向關連方購買肉雞養殖資產，代價為1780萬元。

出售後，集團將繼續其兔肉加工及銷售業務，及集團將不再從事肉兔育種和養殖業務。因此，出售事項將不會對冷藏及冷凍兔肉加工及銷售產生的收入造成任何影響。預計集團將從出售事項中錄得收益約460萬元。出售所得款項淨額約7390萬元，擬用於(i)收購事項；(ii)提高雞肉加工生產率；(iii)擴大肉雞養殖規模；及(iv)公司的營運資金。

於出售事項完成後，公司擬與關連方康大控股訂立框架協議，據此(i)集團將向康大控股集團提供加工食品、冷藏及冷凍兔肉以及冷藏及冷凍雞肉；及(ii)康大控股集團將向集團供應肉兔，由明年起計為期一年，(i)的年度交易金額將不超過3700萬元，而(ii)的年度交易金額將不超過8500萬元。 (ST)
