<匯港通訊>          保德國際發展(00372)宣布，要約人主席兼董事總經理程民駿作出收購全部已發行股份的自願有條件現金要約。現金要約價每股0.175元，較今日收市價0.155元溢價約12.9%。

假設已發行股份數目並無變動；及要約獲全面接納，根據每股要約股份要約價0.175元，要約人根據要約應付之現金代價總額將為37,544,924.2元。

要約人擬於要約截止後維持股份於聯交所上市。
